Affiliate Program Agreement

This Affiliate Program Agreement ("Agreement") is entered into between ADSCARRY SMC-PRIVATE LIMITED ("Adscarry," "we," "our," or "us") and the individual or business applying to participate in the Adscarry Affiliate Program ("Affiliate," "you," or "your").

By applying for, accessing, or participating in the Adscarry Affiliate Program, you acknowledge that you have read, understood, and agreed to be bound by this Agreement, our Terms of Service, Privacy Policy, Return & Refund Policy, and any other applicable marketplace policies.

1. Purpose of the Affiliate Program

The Adscarry Affiliate Program enables approved affiliates to promote Adscarry products, services, campaigns, and marketplace offerings through approved marketing channels and earn commissions on eligible purchases generated through their unique affiliate links.

Participation in the program does not create any employment, partnership, agency, franchise, or joint venture relationship between Adscarry and the Affiliate.

2. Eligibility

To participate in the Affiliate Program, you must:

• Be at least 18 years of age or legally authorized to represent your business.

• Provide accurate registration, payment, and identification information.

• Operate legal websites, blogs, social media accounts, mobile applications, or other approved promotional channels.

• Comply with all applicable laws and advertising regulations.

• Not have been permanently removed from the Adscarry Affiliate Program for policy violations.

Submitting an application does not guarantee approval.

3. Application & Approval

Applicants may be asked to provide:

• Website or blog details.

• Social media profiles.

• Marketing channels.

• Audience information.

• Traffic sources.

• Promotional methods.

Adscarry may approve, reject, or request additional information before accepting an application.

Affiliate participation begins only after receiving official approval through the Affiliate Dashboard or email.

4. Affiliate Relationship

Approved Affiliates are authorized to promote eligible Adscarry products and services using approved marketing materials.

Affiliates may not:

• Represent themselves as Adscarry employees.

• Enter contracts on behalf of Adscarry.

• Make guarantees or promises not officially published by Adscarry.

• Misrepresent marketplace policies, pricing, or services.

5. Affiliate Responsibilities

Affiliates agree to:

• Promote Adscarry honestly and professionally.

• Use approved affiliate links and promotional materials.

• Comply with advertising, consumer protection, and privacy laws.

• Clearly disclose affiliate relationships where legally required.

• Keep account credentials secure.

• Maintain accurate promotional content.

6. Prohibited Activities

Affiliates must not:

• Publish false or misleading advertisements.

• Send spam emails or unsolicited promotional messages.

• Generate fake clicks, fake traffic, or fraudulent orders.

• Use bots, malware, spyware, or automated promotional methods.

• Purchase products through their own affiliate links unless specifically permitted.

• Misuse Adscarry trademarks or branding.

• Register misleading domain names.

• Promote Adscarry through illegal, offensive, defamatory, or harmful content.

Violation of these rules may result in immediate suspension or termination.

7. Marketing Materials & Intellectual Property

Adscarry may provide:

• Logos

• Banners

• Product images

• Marketing creatives

• Promotional text

• Campaign materials

These materials remain the exclusive intellectual property of ADSCARRY SMC-PRIVATE LIMITED or its licensors.

Affiliates receive a limited, non-exclusive, revocable license to use approved materials solely for promoting Adscarry.

Materials may not be modified without prior authorization.

8. Affiliate Links & Tracking

Affiliate commissions are tracked using approved referral links and Adscarry's tracking systems.

A qualifying sale generally requires:

• A valid affiliate referral.

• Successful order completion.

• Payment confirmation.

• No cancellation or refund.

• No fraudulent activity.

• Compliance with Affiliate Program rules.

Adscarry's tracking records will be used to determine commission eligibility.

9. Commission Eligibility

Commissions are earned only on qualified sales.

No commission will be paid, or previously earned commissions may be reversed, if:

• The order is cancelled.

• The product is returned or refunded.

• A payment chargeback occurs.

• Fraud is detected.

• Self-referrals violate program rules.

• Marketplace policies are violated.

Previously paid commissions may be deducted from future payouts where applicable.

10. Commission Rates

Commission rates may vary depending on:

• Product category

• Promotional campaign

• Seller participation

• Affiliate level

• Marketplace promotions

Adscarry may revise commission structures, payout thresholds, or campaign rules at any time.

Updated rates will be communicated through the Affiliate Dashboard or official notifications.

11. Payments

Approved commissions will be paid according to the payment schedule published in the Affiliate Dashboard.

Payments may be subject to:

• Minimum payout thresholds.

• Identity verification.

• Tax documentation.

• Fraud review.

• Payment processing requirements.

Affiliates are responsible for providing accurate payment information.

Adscarry is not responsible for delays caused by banks or payment providers.

12. Taxes

Affiliates are solely responsible for reporting and paying any taxes arising from commissions earned through the Affiliate Program.

Where required by law, Adscarry may request tax documentation or apply legally required deductions.

13. Reports & Commission Disputes

Affiliate reports are provided for informational purposes.

If you believe a commission has been incorrectly calculated, you should contact Adscarry within a reasonable time after the report becomes available.

Adscarry may investigate and correct any confirmed errors.

14. Confidentiality

Affiliates must keep confidential any non-public information received through the Affiliate Program, including:

• Commission structures.

• Campaign details.

• Business information.

• Performance reports.

• Internal marketing strategies.

Confidential information may not be disclosed without written permission.

15. Privacy & Data Protection

Affiliate participation is subject to Adscarry's Privacy Policy.

Affiliates must comply with applicable privacy laws when collecting or processing customer information through their promotional activities.

16. Suspension & Termination

Adscarry may suspend or terminate an Affiliate account if:

• This Agreement is violated.

• Fraud or abuse is detected.

• Promotional methods create legal or reputational risk.

• The account remains inactive for an extended period.

• Continued participation is no longer appropriate.

Affiliates may voluntarily terminate participation by notifying Adscarry.

Upon termination, all Adscarry affiliate links, logos, and promotional materials must be removed from affiliate marketing channels.

17. Effect of Termination

Termination does not eliminate responsibility for:

• Outstanding policy violations.

• Fraud investigations.

• Chargebacks.

• Commission reversals.

• Payment adjustments.

Pending commissions may be withheld until all qualifying transactions are verified.

18. Limitation of Liability

To the fullest extent permitted by applicable law, Adscarry shall not be liable for indirect, incidental, consequential, special, or punitive damages arising from participation in the Affiliate Program.

Adscarry does not guarantee:

• Sales volume

• Website traffic

• Conversion rates

• Affiliate earnings

• Business success

19. Indemnification

Affiliates agree to indemnify and hold harmless ADSCARRY SMC-PRIVATE LIMITED, its officers, directors, employees, affiliates, and representatives against claims, damages, liabilities, costs, or expenses arising from:

• Breach of this Agreement.

• Promotional activities.

• Violation of applicable laws.

• Misuse of Adscarry intellectual property.

• False or misleading marketing content.

20. Governing Law

This Agreement shall be governed by the laws of the Islamic Republic of Pakistan.

Any dispute relating to this Agreement should first be resolved through good-faith negotiations.

If a dispute cannot be resolved amicably, it shall be subject to the competent courts of Pakistan unless otherwise required by applicable law.

21. Changes to This Agreement

Adscarry may update this Agreement at any time.

Revised versions become effective upon publication on Adscarry.pk or notification through the Affiliate Dashboard.

Continued participation in the Affiliate Program after updates become effective constitutes acceptance of the revised Agreement.
